Participating in the Base Holiday Reward Promotion (the “Promotion”) constitutes your express consent and acceptance of these Promotion Terms. By participating in the Promotion, you represent and warrant you meet the eligibility requirements stated in these Promotion Rules and acknowledge that failure to meet all eligibility requirements will result in your disqualification.
Participation is limited solely to legal persons who do not reside in the Excluded Countries listed in Section 2 of the Promotion Rules. Void where prohibited by law. This Promotion shall be construed according to and governed exclusively by U.S. law.
1. Promotion Period(s): The Promotion begins on December 17, 2025 at 12:00 a.m. Pacific Time ("PT"), and ends on December 22, 2025 at 12:00 p.m. PT (the "Promotion Period").
Sponsor’s computer systems or that of their designee is the official time-keeping device for the Promotion.
2. Eligibility: The Promotion is open only to legal persons who do not reside in the excluded countries listed in Section 2 of the Promotion Rules who are at least eighteen (18) years of age or older and the legal age of majority in their jurisdiction of residence (an eligible “Entrant”). Countries excluded from the Promotion include Dominican Republic, Italy, Latvia, Malta, Philippines, Singapore, Slovenia, United Kingdom, and all sanctioned OFAC countries (collectively, the “Excluded Countries”). Coinbase Bermuda Technologies Limited (the “Sponsor”), its parent, affiliates, subsidiaries, Promotion agencies and each of their respective directors, officers, employees, and assigns (collectively “Released Parties”) are eligible to participate; however, employees of Sponsor or any of its affiliates who worked on the App are not eligible.
3. How to Enter: To accrue point(s) in this Promotion, Entrants must successfully complete the following qualification goals for the Base App (the “App”):
Failure to complete these mandatory steps will result in zero points awarded for initial qualification. Upon successful qualification, the Entrant will secure one (1) point and be fully enrolled in the Promotion.
To complete Base Verify: Entrants must authenticate using one of the following account types:
Sponsor reserves the right, in its sole discretion, to disqualify any account or Entrant that violates the respective platform's terms of service or appears to be fraudulent, inauthentic, or created solely for the purpose of entering this Promotion.
Entrants have the opportunity to earn additional points by inviting friends and family. Once an Entrant has invited someone to the App, that invitee must complete the following four actions within the Program Period to qualify for points:
Upon completion of these steps by the Entrant’s invitee, the Entrant will be awarded one additional point. Entrant will be awarded one additional point for each subsequent invitee who also completes the foregoing steps.
Any attempt by any Entrant to participate in the Promotion more than once using multiple/different linked accounts through Base Verify or any other method will void that Entrant’s Prize and that Entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification.
5. Potential Winner Notification: Potential Winners will be contacted within seven (7) days of the end of the Promotion Period via in-app notification and push notification.
NOTE: To claim a prize in this Promotion, all Potential Winners must have an active wallet address in the App (an “Active Wallet”), which has been verified by Sponsor, at the time of awarding the Prize as specified in these Promotion Rules. Potential Winners that do not have an Active Wallet and/or if their Active Wallet is not verified by Sponsor within the above time frame will be disqualified.
All potential winners are subject to verification by Sponsor, whose decisions are final and binding. An Entrant is not a Winner of any Prize unless and until that Entrant’s eligibility and compliance with all requirements to claim a prize have been verified and fulfilled, and the Entrant has been notified that verification is complete.
6. Calculation of Prizes and Prize Restrictions:
The total prize pool for this promotion will be at least ten thousand dollars ($10,000 USD) and potentially up to two million dollars ($2,000,000 USD). Sponsor may in its sole discretion adjust the total prize pool based on the final number of Entrants who participate in the Promotion. Prizes will be limited to the top 500,000 Entrants, as ranked according to (a) first, the total number of Points earned and (b) second, aggregate wallet balance, in each case as of the end of the Promotion Period.

All Prize values stated herein are in US Dollars paid out in USDC. Digital currency conversions to US Dollars or your local currency are treated as digital currency “sales”, and all the forgoing transactions may be charged a spread, processing, and a Coinbase Fee as described in the Coinbase pricing and fee disclosures at Coinbase Pricing and Fees. All winners who wish to sell the prize may do so by following the prompts within the App.
Prizes will be fulfilled within thirty (30) days after the completion of the Promotion Period. Fulfillment of the Prize will be directly to the Entrant’s Active Wallet. Sponsor reserves the right to modify the notification procedures and applicable deadlines for responding in connection with the selection of any alternate winner. If a Prize is legitimately claimed, it will be awarded. Upon Prize forfeiture or inability to use a portion of the Prize thereof, no compensation will be given, and Sponsor will have no further obligation to that Entrant.
Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right, where lawful, to substitute a Prize for one (1) of equal or greater value if the designated Prize should become unavailable for any reason. Prizes consist of only the items specifically listed as part of the Prize. In no event will more than the stated number of Prizes be awarded. Prize details not specifically stated in these Promotion Rules will be determined in Sponsor’s sole discretion. Sponsor is not responsible for, and will not replace, any lost or stolen Prize or Prize component or any Prize that is undeliverable. Entrants acknowledge that Sponsor is subject to U.S. economic restrictions and trade sanctions; as such, Sponsor reserves the right to deny distribution of any Prize when required by applicable law. Entrants waive the right to assert as a cost of winning a Prize, any costs associated with claiming or seeking to claim a Prize, or using a Prize.
US Residents Only: Entrants who have received or are eligible to receive prizes or rewards with an aggregate value exceeding seventy-five dollars ($75.00 USD) must complete this required verification step to receive any prize exceeding that $75.00 aggregate threshold. If you do not have a Coinbase account, you will need to create one to collect a Prize by providing the required information as requested online at coinbase.com (inclusive of Social Security number) and completing the required ID verification process (upload a valid and current driver’s license, passport or state ID and complete a set of identity-verification questions). There is no fee or charge to create an account and become a registered Coinbase user. Normal internet access and usage charges imposed by each Entrant’s mobile service provider may apply. By submitting your information and creating an account, you agree to the Coinbase User Agreement and Privacy Policy. If you do not agree to the User Agreement and Privacy Policy, you cannot create a Coinbase account, and will be ineligible to receive a Prize in the Promotion.
7. Taxes: Entrants are solely responsible for any and all applicable federal, state, and local taxes related to the Prize(s). Each Entrant will be subject to an onboarding verification process and is required to provide any requested tax reporting information before any Prize is awarded. The value of any Prize awarded to an Entrant will be reported for tax purposes as required by law.
8. Release: To the extent permitted by law, Entrants agree to release, discharge and hold harmless Released Parties from and against any claim or cause of action or liability (including but not limited to, personal injury, death or damage to or loss of property as well as claims based on publicity rights, defamation and/or invasion of privacy) arising out of or in connection with participation in the Promotion or acceptance/receipt/use or misuse of any Prize, and agree to be bound by the Promotion Rules and the decisions of the Sponsor and/or Sponsor’s representatives. Acceptance of a Prize constitutes permission for the Sponsor and its agencies to use Entrant’s name, likeness, photograph and/or hometown and state for advertising and trade without further compensation, in any media, worldwide, unless prohibited by law.
9. General: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS Promotion IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor will not be responsible for any technical problems, faulty, lost, garbled, incomplete, incorrect or mistranscribed data transmissions, incorrect announcements of any kind, malfunctions, technical hardware or software failures of any kind including any injury or damage to any person’s computer/mobile device related to or resulting from participating in or experiencing any materials in connection with this Promotion. Sponsor is not responsible for malfunctions or breakdown of any network systems, unavailable service connections, lost, incomplete, faulty network connectivity of any kind, failures of any service providers, or any combination thereof, which may limit a person’s ability to participate in this Promotion. Sponsor reserves the right to suspend, cancel or modify the Promotion if it cannot be executed as planned for any reason including, but not limited to, if fraud, human error, technical failures, or any other factor impairs the integrity or proper functioning of the Promotion; or if a virus, bug or other technical problem corrupts the administration, security, or proper play of the Promotion as determined by Sponsor in its sole discretion. If the Promotion is so canceled or modified, Sponsor may award Prizes from among all eligible Entrants prior to such action and Sponsor shall have no further obligation to any Entrant in connection with this Promotion. Sponsor reserves the right to prohibit the participation of an individual if fraud or tampering is suspected. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in Promotion materials and the terms and conditions of the Promotion Rules, the Promotion Rules shall prevail, govern, and control. Sponsor will not be responsible for any typographical or other error in the printing of the offer, administration of the Promotion or in the announcement of the Prizes.
10. Disputes, Class Action Waiver and Agreement to Arbitrate: Entrants are subject to the terms of the Arbitration Agreement set forth in the Base Account and Base App Terms of Service. Those terms include, among other things, a class action and jury trial waiver. Please read those terms carefully.
FOR GERMANY RESIDENTS: If you have an issue with the App, we encourage you to contact our support team in the first instance to attempt to resolve it, as doing so is the most efficient way of resolving your issue.
In the event of a complaint which has not been resolved with your contact with Coinbase Support, please use our complaint form to set out the cause of your complaint, how you would like us to resolve the complaint and any other information you believe to be relevant. The complaint form can be found on the Coinbase Support pages, help.coinbase.com or can be requested from Coinbase Customer Support. Coinbase will acknowledge receipt of your complaint form after you submit it. A customer complaints officer (an “Officer”) will consider your complaint. The Officer will consider your complaint without prejudice based on the information you have provided, and any information provided by Coinbase. Within fifteen (15) business days of our receipt of your complaint the Officer will address all points raised in your complaint by sending you an email (“Resolution Notice”) in which the Officer will: (i) offer to resolve you complaint in the way you requested; (ii) make a determination rejecting your complaint and set out the reasons for the rejection; or (iii) offer to resolve your complaint with an alternative solution. In certain circumstances, if the Officer is unable to respond to your complaint within 15 business days, the Officer will (unless prohibited by applicable law) send you a holding reply indicating the reasons for the delay in answering your complaint and specifying the deadline by which the Officer will respond to your complaint (which will be no later than thirty-five (35) business days from our receipt of the complaint). Any offer of resolution made to you will only become binding on Coinbase if accepted by you. An offer of resolution will not constitute any admission by Coinbase of any wrongdoing or liability regarding the subject matter of the complaint.

In the event of possible disputes according to S 14 Sec. 1 No. 1-5 German Injunctions Act (Unterlassungsklagengesetz – “UKlaG”), including such arising out of the application of the provisions of the German Civil Code (Burgerliches Gesetzbuch “BGB”) regarding distance contracts for financial services, you may submit a complaint at any time to the conciliation body of the Deutsche Bundesbank (Schlichtungsstelle der Deutschen Bundesbank), Postfach 11 12 36, 60047 Frankfurt am Main.
In the event of possible disputes according to S 14 Sec.1 No. 6-7 German Injunction Act (Unterlassungsklagengesetz, UKlaG), including such concerning other regulations in connection with contracts relating to banking businesses pursuant to section 1 para. 1a sentence 2 of the German Banking Act or financial services pursuant to section 1 para. 1a sentence 2 of the German Banking Act, you may submit a complaint at any time to the conciliation body of Federal Financial Supervisory Authority (Schlichtungsstelle der Bundesanstalt fur Finanzdienstleistungsaufsicht) Graurheindorfer Str.108, 53117 Bonn, fax 0228 41 08 15 50, e-mail: postelle@ bafin.de or by means of a form at www.bafin.de.
The European Commission provides a platform for online dispute resolution, which can be found at https://ec.europa.eu/consumers/odr/main/?event=main.home2.show. This platform can be used by you for the extrajudicial dispute arising from an online contract with Coinbase.
In addition, for any complaints or disputes arising out of or in connection with this Agreement, you submit to the non-exclusive jurisdiction of the courts of Berlin, Germany. This jurisdiction shall be exclusive if you are a businessperson in the meaning of the German Commercial Code (Handelsgesetzbuch, HGB), a legal person under public law or a public law special asset or if you do not have any registered offices or usual place of residence (permanent address) in the Federal Republic of Germany. Coinbase does not participate in dispute resolution proceedings before a consumer conciliation body.
FOR AUSTRALIAN RESIDENTS: Complaints and Disputes: For any feedback, questions, or complaints, contact Coinbase via the ‘Customer Supportʼ webpage at https://help.coinbase.com.
Complaints: For any complaints, Entrant agrees to first contact the Customer Support team as set out above to attempt to resolve such complaint. If Coinbase cannot resolve the dispute through its support team, the parties agree to use the complaints process set out in this Section. Entrant agrees to use this process before commencing any action as set out below. If Entrant does not follow the procedures set out in this Section before pursuing an action, Coinbase shall have the right to ask the relevant court/authority to dismiss Entrants action/application unless and until Entrant completes the following steps.
In the event of a complaint which has not been resolved through contact with Coinbaseʼs Customer Support, Entrant should use the complaint form to set out the cause of the complaint, how you would like Coinbase to resolve the complaint, and any other information Entrant believes to be relevant. The complaint form can be found on the Coinbase support pages, https://help.coinbase.com or can be requested from Coinbase Customer Support. Coinbase will acknowledge receipt of the complaint form after it is submitted. The complaints process set out in this Section is completed when Coinbase responds to the complaint or forty-five (45) business days after the date on which the complaint is received, whichever occurs first.
Any offer of resolution made to Entrant will only become binding on Coinbase if accepted by Entrant. An offer of resolution will not constitute any admission by Coinbase of any wrongdoing or liability regarding the subject matter of the complaint.
If Coinbase has not been able to resolve a complaint via the complaint process set out in this Section, Entrant may escalate the complaint via the dispute processes set out below, as applicable.
Disputes: Entrant agrees that none of the dispute processes set out below shall be commenced, in whole or in part, until the complaint process set out in this Section has been completed, although nothing herein shall be construed as preventing either party from seeking conservatory or similar interim relief in any court of competent jurisdiction.
Entrant and Coinbase agree that any dispute, claim, or disagreement arising out of or relating in any way to this Promotion, including any dispute, claim, or cause of action relating to any Prizes awarded in this Promotion, and including any dispute, claim, or cause of action arising out of or related to the interpretation or application of this disputes provision or these Promotion Rules, including the enforceability, revocability, scope, or validity of this disputes provision, that cannot be resolved via the complaint process set out above, may be adjudicated by a court of competent jurisdiction located in the Australian State or Territory in which the Entrant resides.
11. Limitation of Liability: TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY AMOUNT GREATER THAN (I) THE HIGHEST VALUE OF ANY Prize OFFERED IN THIS Promotion; OR (II) ANY LOST PROFITS, OR ANY SPECIAL, INCIDENTAL, INDIRECT, INTANGIBLE, OR CONSEQUENTIAL DAMAGES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE Promotion, EVEN IF AN AUTHORIZED REPRESENTATIVE OF SPONSOR OR ADMINISTRATOR KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE, EXCEPT TO THE EXTENT A FINAL JUDICIAL DETERMINATION IS MADE THAT SUCH DAMAGES WERE THE RESULT OF SPONSOR OR ADMINISTRATOR’S GROSS NEGLIGENCE, FRAUD, WILLFUL MISCONDUCT, OR INTENTIONAL VIOLATION OF LAW.
FOR AUSTRALIAN RESIDENTS: Despite the foregoing, nothing in these Promotion Rules limits, excludes, or modifies (or purports to limit, exclude or modify) any statutory consumer guarantees or any implied condition or warranty, the exclusion of which these Promotion Rules would contravene any statute or cause any part of these Promotion Rules to be void. Subject to the limitations in the preceding sentence, the Sponsor excludes from these Promotion Rules all conditions, warranties, and terms implied by statute, general law or custom.
12. Entrant's Personal Information: Information collected from Entrants is subject to Base Account and Base App Privacy Policy. Sponsor assures that your information will be kept confidential in accordance with applicable data protection laws and regulations.
